By accessing the website at http://www.yado.co, or using one of our Yado Android or Yado iOS apps, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site or our apps. The materials contained in this website and our apps are protected by applicable copyright and trademark law.

2. Disclaimer

The materials on Yado Ltd.'s website and apps are provided on an 'as is' basis. Yado Ltd. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, Yado Ltd. does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or apps or otherwise relating to such materials or on any sites linked to the site or apps.

3. Limitations

In no event shall Yado Ltd. or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Yado Ltd.'s website or apps, even if Yado Ltd. or a Yado Ltd. authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

4. Accuracy of materials

The materials appearing on Yado Ltd.'s website or apps could include technical, typographical, or photographic errors. Yado Ltd. does not warrant that any of the materials on its website are accurate, complete or current. Yado Ltd. may make changes to the materials contained on its website at any time without notice. However Yado Ltd. does not make any commitment to update the materials.

5. Content contributed to the apps by users
​
The Yado iOS and Android apps allows users to create their own posts by uploading photos showcasing items to sell and writing product descriptions, and to share those posts through the apps with other users. In this agreement we refer to all of this content provided by users as "User Content".

In order for us to make the User Content you contribute available on the apps for these purposes, and to operate, market and promote the service, we need the right to make use of such User Content in accordance with and subject to this agreement.

Therefore, by contributing User Content to the apps, or creating it on the apps, you automatically grant to us an irrevocable and perpetual (except as set forth in this agreement), non-exclusive, transferable, fully-paid, royalty-free (except as expressly set forth in this agreement), worldwide license, by ourselves or with others, to use, copy, distribute, publicly perform, publicly display, print, publish, republish, excerpt (in whole or in part), reformat, translate, modify, revise and incorporate into other works, that User Content and any works derived from that User Content, in any form of media or expression, in the manner in which the Service from time to time permits User Content to be used, and to license or permit others to do so.

This license also grants us the right to sublicense that User Content to other Users to permit their use of that User Content in the manner in which the service from time to time permits User Content to be used.

5.1 Liability

By contributing User Content to our apps, you agree that you own all intellectual property in your own original Content. You must not upload or contribute any content not originally created by you, or any content which is not properly licensed to you by someone else for uploading or contributing.

Don't upload anything that isn't yours. This includes other people's photos, videos, and/or stuff you've copied or collected from around the internet. Accounts that consist primarily of such posts may be deleted at any time without prior notice.

Don't show nudity
If we find inappropriate content around nudity, we have the right to remove it and/or delete your account without prior notice.

Don't upload content that is illegal or prohibited.
If we find you doing that, your account will be deleted and we'll take appropriate action, which may include reporting you to the authorities.

5.2 Offensive Content
​
We have the right, but not the obligation, to remove Content, that we determine, in our sole discretion, to be "Offensive Content" as defined below. We also have the right, but not the obligation, to limit or revoke the use privileges of anyone who posts such Offensive Content or engages in otherwise unacceptable behavior on or through our services, our website or our apps.
You may not post any unlawful, offensive, threatening, libellous, defamatory, obscene or otherwise objectionable Content, or Content that violates any of these called "Offensive Content". Examples of such Offensive Content include, but are not limited to, the following:

Abuse, harassment, threats, flaming or intimidation of any person or organization

Engaging in or contributing to any illegal activity or activity that violates others' rights

Use of derogatory, discriminatory or excessively graphic language

Providing information that is false, misleading or inaccurate

6. Transaction fees
​
When listing and selling on the Yado apps, you agree that Yado will take a 10% transaction fee from the order amount and transfer the remaining 90% of the order amount to the seller.

7. Links
​
Yado Ltd. has not reviewed all of the sites linked to its website or apps and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Yado Ltd. of the site. Use of any such linked website is at the user's own risk.

8. Modifications
​
Yado Ltd. may revise these terms of service for its website at any time without notice. By using the website or apps you are agreeing to be bound by the then current version of these terms of service.

9. Governing Law
​
These terms and conditions are governed by and construed in accordance with the laws of Singapore and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

These Terms of Service are effective as of 1 February 2020.
